These Terms of Service (“Terms”) govern your access to and use of the website and services provided by Mercantyl Solutions Private Limited (“Mercantyl”, “we”, “us”, or “our”). By accessing our website or engaging our services, you agree to be bound by these Terms.
Mercantyl provides Flipkart seller account management, product listing and SEO optimization, Meta (Facebook & Instagram) advertising, order/payment/returns support, AI-powered operational automation, and seller performance monitoring. The specific scope of services will be defined in a separate agreement or statement of work between you and Mercantyl.
You represent that you are a business entity or individual authorized to act on behalf of a Flipkart seller account, and that you have the legal capacity to enter into binding agreements.

Fees for services will be as agreed in writing. Invoices are payable according to the terms stated on the invoice or agreement. Late payments may result in suspension of services. All fees are exclusive of applicable taxes unless otherwise stated.
All content, design, branding, software, and materials on our website and used in the delivery of services remain the property of Mercantyl or its licensors. Work product specifically created for you (such as listing copy or campaign creatives) will be licensed or assigned as specified in your service agreement. You retain ownership of your product data, brand assets, and Flipkart account.
Both parties agree to keep confidential any non-public business, technical, or account information shared in the course of the engagement, and to use such information only for the purpose of performing the services.
Our services are provided on an “as is” and “as available” basis. While we strive for excellence, we do not guarantee specific sales results, ranking positions, or that your Flipkart account will be free from platform-related issues beyond our control. Flipkart’s policies, algorithms, and enforcement actions are outside our sole control.
To the maximum extent permitted by law, Mercantyl shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to the services or these Terms. Our total aggregate liability shall not exceed the fees paid by you to us for the services in the three (3) months preceding the claim.
You agree to indemnify and hold harmless Mercantyl and its officers, directors, and employees from any claims, damages, or expenses arising from your breach of these Terms, your violation of Flipkart policies, or your misuse of the services.
Either party may terminate a service engagement according to the terms of the applicable agreement. Upon termination, you remain responsible for fees accrued up to the effective termination date. Provisions that by their nature should survive (confidentiality, liability, IP, etc.) will survive termination.
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.
We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date. Continued use of our website or services after changes constitutes acceptance of the revised Terms.
